The work that we do is cutting-edge and is a service that businesses wish they had month earlier once they start working with us.

TERMS OF SERVICE

SERVICES

NINE TWO MEDIA is contracted to provide Digital Marketing, Lead Generation Services, and follow up services as outlined in this agreement.

The CLIENT will receive a MINIMUM of 20 client opportunities (engaged leads) or a positive ROI in the first 90 days of the campaign being live, or else NINE TWO MEDIA will work for free the following month waiving the management fee until the minimum number of leads has been delivered before issuing the following months invoice.

If a positive financial ROI is achieved within the first 90 days prior to 20 leads being delivered, the 20 engaged leads guarantee will be superseded.

Nine Two Media will call old & new leads, qualify, and schedule appointments with business owners ready to buy.

Nine Two Media will do everything in their control to keep the client's LinkedIn profile/ad accounts in good standing. However, Nine Two Media is not responsible for any temporary or permanent account restrictions/suspensions. Nine Two Media will help clients recover accounts should this take place. We are not LinkedIn, and cannot control their actions.
"Engaged Leads" defined: Someone who shows interest in what you sell

COMPENSATION

The CLIENT agrees to compensate NINE TWO MEDIA $2,000 per month ($6,000 for 3 month agreement) for services rendered as defined in the “Objective & Pricing” of this proposal. These services include CORE SERVICES. Any OPTIONAL SERVICES will incur additional fees.

All payments are due upon agreement.

All Fees are in USD, are non-refundable, and completely earned upon commencement of work by NINE TWO MEDIA.

Compensation does not include sales tax or other applicable duties as may be required by law. Any sales tax or duties required by law, if any, will be charged to the client in addition to the compensation.

Client Expectations

The client is expected to attend the scheduled kick off call with all team members who will be directly involved with the marketing campaign.

The client is expected to assign ONE individual as the main point of contact for their company.

The client is expected to attend all scheduled bi weekly strategy calls.

The client is expected to use the dashboard, and keep their CRM up to date (ie: diligent notes, leads in correct pipeline stages)

This especially includes ensuring “No Shows” are recorded within 30 minutes of the scheduled meetings.

The client is expected to treat our team with respect and communicate in a professional manner.

If the client fails to do meet the expectations listed above the guarantee will be voided.

ADVERTISING & OTHER FEES

Any additional fees for CRM or SAAS applications are the responsibility of the CLIENT. (i.e. Sales Navigator)

TERM OF AGREEMENT

Services defined are to be provided on a 3 month agreement. Following the initial 90 day intro period 14 days notice is required if you wish to cancel your outreach program and not be billed on a monthly basis. If 14 days notice is not received, you will continue to be billed on a monthly basis.

CONFIDENTIALITY

All materials, leads, contacts, and any other proprietary information owned by the CLIENT will remain the property of the CLIENT. All reasonable steps will be taken to safeguard any and all sensitive information.

ANTI-SPAM LAWS

Every effort is made possible to adhere to the CASL regulations and CAN-SPAM Act surrounding digital communications with leads and potential clients.

INDEMNIFICATION

Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, the CLIENT agrees to indemnify and hold harmless NINE TWO MEDIA, and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the CLIENT, its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement.

NON-DISCLOSURE

Any information discussed between the receiving party and the disclosing party is held confidential by Nine Two Media and will not be sold, held, or viewed by any 3rd party companies. Nine Two Media is allowed to show results to potential customers as examples of our work. By signing below, both parties agree to payment terms and this non-disclosure.

ELECTRONIC SIGNATURE

Any signature (including any electronic symbol or process attached to, or associated with, a contract or other record and adopted by either party with the intent to sign, authenticate or accept such contract or record) hereto or to any other certificate, agreement or document related to this transaction, and any contract formation or record-keeping through electronic means shall have the same legal validity and enforceability as a manually executed signature.
